Below are the terms and conditions of working with our firm:

 All information therein is in the Design Contract & Order Procurement Contract signed. We send this as a courteous reminder that we are often up against the clock with every client and every order. We do our best to communicate, source from reliable companies while keeping your “design time” and your lead time in mind. Micah & Co cannot be responsible for another parties choice to misrepresent, misunderstand or give wrong information. It is also out of our control if items delivered are broken. You can choose to deal with such issues or pay MC to handle them for you.

Orders & Purchases

  • Micah & Co shall purchase all of the agreed to merchandise and advise Client as to acceptability but shall have no liability for the lateness, malfeasance, negligence or failure of suppliers.

  • Client understands that backorders are to be expected and dates initially given by companies are often not true. Client must understand that ordering furniture and accessories is extremely laborious, dates change all the time and we do our best to ensure you are communicated to as we are from every company.

  • In the event that after Client’s approval for the purchase of merchandise, changed circumstances cause an increase in price or other change with respect to any such purchase of merchandise, Micah & Co shall notify Client in writing, but shall bear no liability with respect to the changed circumstances, and Client shall be fully responsible with respect to the purchases of merchandise.

  • Micah & Co makes no warranties or guarantees as to merchandise, including but not limited to fading, wear, or latent defects, but will assign to Client any rights Micah & Co may have against suppliers, and Client may pursue claims against such suppliers at Client’s expense. If you ask or expect MC to resource or handle issues regarding purchases, the Client will be charged for time therein.

Billable Design Time

Includes face-to-face appointments, phone consultations, e-mails, text message time, and independent work time: finish selections, furniture layouts, drafting of plans & elevations, etc. If there are multiple locations that I/we will need to travel to during a design consultation (furniture stores, project address, tiles stores, etc.) Please note that travel between locations is usually considered billable design time.

Scheduled Design Appointments

  • If the client is late for a scheduled design appointment, they are responsible for paying for the total appointment time. Therefore, a notification must be given at least one day before any appointment cancellations.

  • If the client does not provide adequate notice of appointment cancellation or does not show up for the scheduled appointment, the client will be billed for the scheduled time.

Contractors/Builders

  • Micah & Co shall have no liability for the lateness, malfeasance, negligence or failure of suppliers or contractors to perform their responsibilities and duties.

  • Micah & Co cannot warranties or guarantees as to merchandise or construction, including but not limited to fading, wear, or latent defects, but will assign to Client any rights Micah & Co may have against suppliers or contractors, and Client may pursue claims against such suppliers or contractors at Client’s expense.

Interior Design Drawing Sets

  • Micah & Co’s drawings and specifications are conceptual in nature and intended to set forth design intent only. They are not to be used for architectural or engineering purposes. Micah & Co does not provide architectural or engineering services.

  • Micah & Co’s services shall not include undertaking any responsibility for the design or modification of the design of any structural, heating, air-conditioning, plumbing, electrical, ventilation or other mechanical systems installed or to be installed at the Project. Client will provide Micah & Co with access to the Project and all information Micah & Co may need to complete the Project.

  • It is the Client’s responsibility to obtain all approvals required by any governmental agency or otherwise in connection with this Project to ensure compliance with all applicable codes, requirements, and/or inspections.

Billing and Payments

  • Invoicing occurs every other Tuesday for the previous 2 week’s of billable design time via Quickbooks with a 3% fee if paid by credit card.

  • Invoicing for the reimbursement of orders occurs as the order(s) are placed.

  • Payments received later than 15 days from the invoice date will be assessed a late fee.

  • If a payment goes more than 30 days past due, I reserve the right to seek legal action and late fee will not be waived. All products delivered must be paid in full upon delivery.

Photography & Social Media

  • Client will tag or give proper social media/website credit to Micah & Co while describing or showcasing the design or Micah & Co’s work.

  • Client will permit Micah & Co representatives to photograph the Project throughout the process and upon completion of the Project. Micah & Co will be entitled to use photographs for business purposes but shall not disclose Project’s specific location or Client’s name without Client’s prior written consent.
